DEFINITIONS

Any reference to Company/Seller/We/Us shall mean Audio Tech Direct Limited of ATD House, Jaram, Llangedwyn, Near Oswestry, Shropshire, SY10 9LW, United Kingdom, which sells or supplies specialist motor/automotive equipment and accessories in the course of its trade or business.

Any reference to You/Buyer/Purchaser shall mean any person, sole trader, partnership, business, body corporate, or other entity detailed in the appropriate section of the sales invoice/order form, including all successors, heirs, and assigns. Where the Buyer purchases in the course of a trade, profession, vocation, or sport (where the Buyer is a specialist or enthusiast), such a Buyer shall be regarded as a trade buyer. Where a person deals entirely as a consumer, their statutory rights remain unaffected. The term "Buyer" in these terms shall refer to both trade and consumer buyers unless otherwise specified.

Goods or equipment ordered shall refer to the items detailed in the appropriate section of the sales/order form. It is a core term of this agreement that any additional parts, connecting components, or ancillary items not listed in the sales order form are not included and shall be treated as separate items.

Price shall mean the amount payable for the purchase and shall include VAT where applicable through this website.

Orders placed via the Internet constitute offers to purchase only and shall not be binding until confirmed in writing by the Company through an invoice or dispatch of goods. Order acknowledgments sent after payment do not constitute confirmation of acceptance. The Company reserves the right to decline any offer prior to written confirmation or dispatch—e.g., where items are unavailable, pricing errors occur, or descriptions are incorrect. In such cases, a full refund will be issued via the original payment method.
GENERAL

"Working day" means any day excluding Saturdays, Sundays, and public holidays.

These conditions apply to all the Company’s quotations, contracts, and orders (including those by phone, fax, post, or internet) for the sale or supply of goods. For trade buyers, any other terms or representations—whether implied by statute or otherwise—are excluded unless agreed in writing.

Brochures, website descriptions, and display samples are indicative only. Specifications, weights, and performance data are provided by manufacturers for guidance and may vary. Images shown are illustrative and may differ by vehicle model. Buyers must confirm compatibility, specification, and measurements with the Company or manufacturer before ordering. Manufacturers may update specifications without notice.

The Company reserves the right to correct technical or clerical errors in any order. Buyers must ensure all order details are accurate before submission. The Company accepts no liability for errors unless reported within seven days of delivery or receipt of documentation.
GUARANTEES

Product guarantees are provided by manufacturers/importers and are subject to their terms. Buyers should complete and return any warranty documentation upon receiving goods.
LIMITATIONS UPON LIABILITY

Advice provided by our team during phone or online orders is based solely on the information supplied by the Buyer and without product inspection. It is the Buyer's responsibility to confirm suitability before ordering. Any advice given is an opinion only and is not guaranteed. Goods are supplied for their normal intended use only. We accept no liability for use in unintended applications or after modification.

For trade buyers, the Company disclaims all liability, express or implied, including conditions, warranties, or representations, statutory or otherwise. Trade buyers are expected to carry sufficient insurance to cover losses arising from breaches of this agreement.

Goods may not be compatible with vehicles that have been modified or adapted. Returns in such cases are accepted solely at the Company’s discretion. No refunds are provided for custom/special order items.

Buyers must return allegedly defective items for inspection. The Buyer must notify the Company of faults before involving third parties or incurring any costs. Modified parts are excluded from warranty, and the Company accepts no liability for damage following modification.

Competition parts are for specialist use and are subject to increased wear. The Company does not guarantee such parts and accepts no claims for failure due to stress or specialist use. Buyers should seek expert advice before purchase. Manufacturer warranties may be limited for competition use.

Claims for indirect losses, including missed competition entries, awards, or fees, are excluded. The Company accepts no liability for death or injury unless directly caused by its own negligence.

No liability shall apply where the Buyer installs or modifies goods knowing them to be incorrect or unsuitable.

The Company is not liable for delays or non-performance due to events beyond its control, including but not limited to strikes, civil unrest, natural disasters, or actions by third parties.

Nothing in this agreement shall confer any benefit on a third party not named in the contract, per the Contract (Rights of Third Parties) Act 1999.
PAYMENT TERMS

Prices are quoted assuming no changes from manufacturers or importers, and that government taxes remain unchanged. Trade buyers are responsible for any price increases. Consumer buyers will be contacted for consent before any price change. If consent is not given, the order will be cancelled. Where a Buyer requests smaller quantities than originally ordered, additional costs may apply due to reduced economies of scale.

Unless otherwise stated, all payments are due at the time of order, or in accordance with the trade Buyer's credit terms. Trade buyers in default will incur interest as set out in the Late Payment of Commercial Debts (Interest) Act 1998 or as agreed. Consumer buyers will be charged interest at 2% above NatWest base rate.
TITLE AND DELIVERY

Title to goods does not pass to the Buyer until full payment is received. If other payments are outstanding, the Company may retain ownership of all goods supplied.

Delivery times are estimates. Time is not of the essence unless specified in writing after the final quoted delivery date. Buyers must allow 20 working days before making time of the essence. For special orders, this extends to 30 days. Delivery risk passes to the Buyer upon dispatch to them or to a third-party delivery agent.

Buyers must notify the Company in writing of any discrepancies within seven days of delivery. If goods are delivered to an independent courier, claims must be made directly to the carrier. The Company will assist where possible. Packaging must be retained for claims.

Delivery and packaging charges are confirmed at order. For international orders, approximate shipping costs will be quoted prior to confirmation. Acceptance is required before the order proceeds.
CANCELLATION OF ORDERS AND LIABILITY

Clauses 27–30 apply only to consumer buyers within the European Economic Area, where the Consumer Protection (Distance Selling) Regulations apply.

A Consumer Buyer may cancel a distance sale within seven working days of receiving goods (excluding special order items). Cancellation must be in writing, clearly stating the order number and Buyer's name and address. It must be sent by fax or post to the Company’s registered office.

Upon cancellation, the Buyer must return goods in their original, unused condition and packaging within 7 days, at their own cost.

If the Buyer fails to return the goods, the Company may collect them and recover reasonable costs for doing so.

Refunds will be processed within 30 days of cancellation or receipt of returned goods, subject to applicable deductions per clause 29.

Non-distance purchases (including trade buyer orders) may be returned in original condition within 7 days, subject to a restocking fee (minimum 10%). Proof of purchase is required. Special order items are non-returnable.

Trade Buyers agree to indemnify the Company against any third-party claims, liabilities, or legal actions relating to the goods or their use.

Buyers must follow all installation instructions. Losses due to improper, unqualified, or unauthorised installation will not be accepted. Installation costs are not covered under any circumstances.
JURISDICTION

This agreement shall be governed by English law. All disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
